PRISM Learning Academy (operating as "PLA") is a service provided by YourPerfectScore LLC (the "Company"). prismlearning.academy is a wholly owned subsidiary of YourPerfectScore LLC and this agreement governs the terms and conditions for prismlearning.academy.
The PRISM Learning Academy service and forum are operated by YourPerfectScore LLC. By using our website at prismlearning.academy (referred to as "prismlearning.academy"), you (the "User") signify that you have read and understood these terms and conditions ("Terms of Use") and that you agree to be bound by them, regardless of whether or not you are a registered member of prismlearning.academy. PLA reserves the right to change, modify, or delete portions of these Terms of Use at any time without further notice. Your continued use of prismlearning.academy or any other PLA properties constitutes agreement to these changes. BY USING THE PRISM LEARNING ACADEMY SERVICE, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS USER AGREEMENT AND CREATE A BINDING CONTRACT BETWEEN YOU AND YOURPERFECTSCORE LLC. If you do not accept the terms and conditions contained in this User Agreement, do not use the PLA Service.

Use of the PRISM Learning Academy Service
To use PLA service, you must be 13 years of age or older. Any registration, use or access to the site by anyone under 13 years of age is a violation of these Terms of Use. Using this site constitutes a confirmation that you are 13 years of age or older. Users between 13-17 years of age must have parental or guardian consent to use this service.
To authorized users, PLA grants a terminable, non-exclusive, non-transferable license to use the PLA Service solely for your personal, noncommercial, and noncompetitive use. The purpose of the license is to help users prepare for the SAT, ACT, and other standardized tests and academic assessments. No site content may be modified, distributed, downloaded, posted or sold in any form or by any means, either complete or in part, without the prior written permission from YourPerfectScore LLC.
All content, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the property of YourPerfectScore LLC or its content suppliers and is protected by United States and international copyright laws.

User Conduct
PLA offers the service from prismlearning.academy to help authorized users improve their performance on standardized tests and academic assessments. You agree to use the site in accordance with the terms and conditions listed below:

You agree, as a condition of your registration at PLA, to provide accurate registration information including a valid email address, name, and other required details. PLA has the right to terminate your registration without prior notice or issuance of a refund if it has reason to believe that you have misrepresented yourself.

You agree not to disassemble, copy, distribute, resell, loan, share, or reverse engineer any content on PLA. Furthermore, you also shall not translate or prepare derivative works of any of the content on PLA. You also understand that PLA holds the right to terminate your license without any notice if it has reasonable doubt that you intend to or have attempted any of the above.

PLA reserves the right to terminate or suspend your access to the service at any time, with or without cause, and with or without notice, for any reason including breach of these Terms of Use.

Users take full responsibility for the material that they post at prismlearning.academy. PLA does not have any obligation to preview, screen, or monitor any content that may be added to prismlearning.academy.

Users further agree not to
a)
harvest or collect email addresses or contact information of other users on PLA;
b)
use the service in an unlawful manner that could overburden, damage, or disable the site or impair its functionality to any degree;
c)
upload unlawful, defamatory content or make public any private information such as social security numbers, addresses, or bank account information of any individual.
3.
Email communication and Use of Cookies
From time to time PLA may place a cookie on your computer. A "cookie" is a small line of code that is stored in your browser when you visit a cookie-enabled website. A cookie allows us to track and keep records on user activity and personalize your learning experience. Most browsers are initially set to accept cookies. If you configure your browser to reject cookies, it is possible that some parts of the website will not function properly. To use the Services, your browser must accept cookies.
4.
Return Policy
PLA will refund your complete course fee if you inform us that you are not satisfied with the course within 7 days of your purchase date. You will not be eligible for a refund if you have done any one of the following:
1.
You have accessed the course for more than 7 hours of learning materials.
2.
You have attempted more than one mock test or assessment.
Please note that PLA is not obligated to issue any refund if you do not meet the criteria above.
5.
Limited Liability
Although PLA has a rigorous testing process to ensure that all material posted by PLA and its employees is accurate, it does not guarantee the accuracy of the material. You agree that PLA, YourPerfectScore LLC, or their employees shall not be liable for any damage or loss, whether direct, indirect, consequential, or incidental, that is caused by the services provided by PLA.
PLA shall not be held liable for any damages caused by: (a) the use of, or (b) the inability to use PLA service. Furthermore, PLA is not liable for: (a) any unauthorized disclosure of your personal information obtained from prismlearning.academy by third parties, or (b) any interruption or cessation of service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF PLA AND YOURPERFECTSCORE LLC FOR ANY CLAIMS UNDER THESE TERMS OF USE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PLA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
6.
Indemnification
You agree to indemnify and hold harmless PLA, YourPerfectScore LLC, and their respective officers, employees, contractors, agents, service providers, and partners from any and all losses, expenses, damages, and costs, including reasonable attorney fees, resulting from: (a) the use of or your association with PLA, (b) any violation of these Terms and Conditions, (c) any violation of the Privacy Policy, or (d) any violation of any rights of another party.
7.
Force Majeure
PLA shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond PLA's reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
8.
Conflict Resolution and Governing Law
This agreement between PLA and you is governed by the laws of the State of Arizona, without regard to its conflict of law provisions. You agree that any dispute, claim, or cause of action related to these Terms and Conditions, regardless of any statute of limitations, shall be brought exclusively to the state or federal courts located in the State of Arizona. You further agree that all claims and disputes must be filed within six (6) months of the claim or cause of action arising, or be forever barred.
9.
Severability
If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.
10.
Assignment
You may not assign or transfer these Terms of Use or your rights hereunder, in whole or in part, without the prior written consent of PLA. PLA may assign its rights and obligations under these Terms of Use without restriction or notification.
11.
Entire Agreement
These Terms of Use, together with the Privacy Policy and any other legal notices or agreements published by PLA on prismlearning.academy, constitute the entire agreement between you and PLA regarding the use of the service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
12.
Waiver
No waiver of any term or condition of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure by PLA to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
